Conditions of Sale

1. Definitions

In these Sales & Delivery Terms ("Terms"), the following definitions apply:

  • Reiziger USA: REIZIGER USA Corporation, registered in Delaware, United States, and its legal successors.
  • Client: Any individual or legal entity purchasing Products or Services from Reiziger USA.
  • Agreement: Any contract between Reiziger USA and the Client, including modifications and preparatory actions.
  • Products: All goods, including documentation, drawings, testing equipment, and results of Services.
  • Services: All activities performed by Reiziger USA for the Client, including consultancy and technical support.
  • Order: Any request for Products or Services made by the Client.
  • Account Application: A credit or account application submitted by the Client and approved by Reiziger USA, forming part of the overall Agreement.

2. Applicability of Terms

2.1 These Terms, together with any signed Account Application and other agreements, form the entire understanding between the Client and Reiziger USA. The Account Application is an integral part of these Terms, and by submitting an Account Application, the Client acknowledges and agrees to be bound by these Terms.

2.2 No other representations, oral or written, shall modify these Terms unless explicitly agreed upon in writing by Reiziger USA.

2.3 By placing an Order or submitting an Account Application, the Client agrees to be bound by these Terms.

3. Pricing & Payment Terms

3.1 All prices are in U.S. Dollars (USD) and exclude applicable sales tax unless stated otherwise.

3.2 Special packaging, shipping to multiple addresses, duties, and excise taxes are the responsibility of the Client.

3.3 Price adjustments due to changes in exchange rates, import/export levies, insurance, freight, or other costs will be charged to the Client.

3.4 The Client indemnifies Reiziger USA against any tax-related costs resulting from incorrect or untimely tax registration or reporting. The Client is responsible for submitting all necessary tax-exempt documentation before placing an order. Failure to provide accurate and timely tax-exempt certificates will result in applicable sales taxes being charged, and the Client will bear full liability for any IRS-related issues arising from incorrect tax filings.

3.5 Payment Terms: Payments must be made in the invoice currency by the end of the month following the invoice date. Invoices govern payment due dates, not account statements.

3.6 A 2% per month late fee (24% annually) will be charged on overdue invoices or the maximum permitted by U.S. law.

3.7 Payments via Visa, MasterCard, Discover, or American Express are accepted up to $10,000 or higher if approved by Reiziger USA. A 3% convenience fee applies to changes in payment terms after sale finalization.

3.8 If an account is past due, Reiziger USA reserves the right to place the account on hold and require prepayment for future orders.

3.9 If an account remains past due for 90 days or more, Reiziger USA reserves the right to permanently terminate credit privileges and require prepayment for all future orders.

3.10 If legal action is required to recover unpaid amounts, the Client will be liable for all legal fees and collection costs.

3.11 Reiziger USA retains a security interest in all Products until full payment is received. Title to the Products remains with Reiziger USA until full payment is received. Risk of loss or damage transfers to the Client upon delivery, regardless of payment status.

4. Tax Exemption Requirements

4.1 The Client must provide a valid tax-exempt certificate before placing an order to avoid sales tax charges.

4.2 Failure to submit tax exemption documentation before ordering will result in applicable taxes being charged on the invoice.

4.3 Client Responsibility for Tax Filings:

  • The Client is solely responsible for ensuring timely and accurate submission of all required tax-exemption forms.
  • The Client assumes full liability for any IRS-related issues arising from incorrect tax reporting, missing tax-exempt documentation, or late filings.
  • Reiziger USA will not refund sales tax collected due to missing or invalid tax-exemption forms.

5. Order Fulfillment, Delivery & Risk of Loss

5.1 Orders are invoiced upon shipment or upon receiving delivery confirmation from third-party manufacturers.

5.2 Risk of loss transfers to the Client upon delivery in accordance with Incoterms (e.g., FOB, DDP) unless otherwise agreed.

5.3 Delivery timelines are estimates only. Reiziger USA is not responsible for delays caused by external factors.

5.4 Clients must provide 48-hour advance notice for large truck deliveries and ensure personnel are available to assist in unloading.

5.5 If the Client refuses a shipment (except for damage claims), they are responsible for return freight costs plus a restocking fee of 15% of the order value.

6. Inspection, Claims & Returns

6.1 Inspection & Reporting Claims

  • The Client must inspect all Products immediately upon delivery and report any discrepancies, defects, or damages within 24 hours of receipt. If defects are not immediately detectable, they must be reported within 48 hours of delivery.
  • Claims must include photographic evidence and all relevant supporting documentation.
  • The Client must immediately cease use of any defective Product and allow Reiziger USA to inspect the item.

6.2 Returns & Refunds

  • Wholesale (B2B) Orders: Final sale. Returns only accepted for:
    • Mis-shipped items (incorrect product sent).
    • Defective Products covered under a manufacturer warranty.
    • Damaged shipments (must be reported within required timeframe).
  • Consumer (B2C) Orders: 7-day return policy. Returns accepted for:
    • Unopened and unused items in original condition.
    • Return shipping costs covered by consumer.
    • A 10% restocking fee applies to all discretionary returns.

6.3 Refunds

  • Wholesale (B2B): No refunds. Any credit issued is at the sole discretion of Reiziger USA.
  • Consumer (B2C): Refunds processed within 10 business days after inspection.
  • If a refund has not been received within 15 business days, the consumer must contact customercare@reiziger.com.

7. Warranty & Limitation of Liability

7.1 Reiziger USA provides no warranties unless explicitly stated in writing. All Products are sold "as is."

7.2 Manufacturer warranties, where applicable, are the sole responsibility of the manufacturer. Reiziger USA disclaims all liability for manufacturer defects, and the Client’s only recourse is through the manufacturer’s warranty process.

7.3 Reiziger USA is not liable for indirect damages, including lost profits, environmental damage, or crop failures.

7.4 Reiziger USA’s total liability per event is limited to the contract value or insurance compensation received.

8. Force Majeure

8.1 If Reiziger USA cannot fulfill its obligations due to force majeure, those obligations will be suspended.

8.2 If force majeure continues for three months, either party may terminate the Agreement in writing.

8.3 Force majeure includes, but is not limited to, natural disasters, pandemics, cyberattacks, supplier failures, material shortages, government actions, embargoes, acts of war, terrorist attacks, labor disputes, and transportation disruptions.

9. Governing Law & Dispute Resolution

9.1 These Terms are governed by the laws of the State of Delaware, United States.

9.2 All disputes shall be submitted to the exclusive jurisdiction of the state or federal courts of Delaware.

9.3 Waiver of Jury Trial: Each party waives its right to a jury trial in any litigation arising from these Terms.

10. Acceptance of Terms

By placing an order, submitting an Account Application, or engaging in any transaction with Reiziger USA, the Client acknowledges and agrees to these Terms and Conditions.
